8-K Tracker: Form 8-K Trigger Assessment Log

One running log of every event that might require a Form 8-K: the conclusion (file, furnish, not required, monitoring), the four-business-day default deadline with an override for items on a different clock, and whether it was filed on time.

Tab structure

  • Instructions
  • Setup
  • Trigger Log – event, trigger date, Item, item title, conclusion, assessment / memo link, default due, due override, filed date, status, reviewer, Form S-3 consequence of a late filing, Item 9.01 8-K/A due date
  • Items – Form 8-K items with titles, timing notes (e.g., Item 1.05 and Item 2.02), Form S-3 safe-harbor items and the default clock
  • Lists
  • Holidays

Key checks and flags

  • Default due date = four business days after the event, skipping weekends and listed holidays
  • Items 7.01 and 8.01 show n/a – no four-business-day clock (watch Regulation FD timing instead)
  • Override column for items with different timing
  • Status shows days left, overdue, or filed timely / late
  • Late filings show the Form S-3 consequence: safe-harbor items (General Instruction I.A.3(b)) vs loss of S-3 eligibility
  • Item 2.01 acquisitions: the 8-K/A due date for the acquired business's financial statements (71 calendar days after the initial due date)
  • Header counts: open events, filed late or overdue, conclusions not yet reviewed
