2027 SEC filing deadlines: 10-K and 10-Q due dates by filer status
Every 10-K and 10-Q due date that falls in 2027, for every fiscal year-end month, with weekend and federal-holiday roll-forward under Rule 0-3 already applied.
How the deadlines work
| Filer status (Rule 12b-2) | Form 10-K | Form 10-Q |
|---|---|---|
| Large accelerated filer | 60 days after fiscal year-end | 40 days after quarter-end |
| Accelerated filer | 75 days | 40 days |
| Non-accelerated filer (including most smaller reporting companies) | 90 days | 45 days |
Count calendar days from the period end. If the last day is a Saturday, Sunday or federal holiday, the filing is due the next business day (Rule 0-3). Filer status is set at fiscal year-end and governs that year's 10-K and the next year's 10-Qs. A Rule 12b-25 notice (Form 12b-25 / NT) filed by the next business day gives up to 15 more calendar days for a 10-K and 5 for a 10-Q.
Form 10-K due dates in 2027
Part III by proxy: the definitive proxy statement must be filed within 120 days after fiscal year-end to incorporate Part III by reference (Form 10-K General Instruction G(3)); otherwise file Part III in the 10-K or a 10-K/A by that date. Dates below are rolled forward for weekends and holidays.
| Fiscal year ended | Large accelerated (60 days) | Accelerated (75 days) | Non-accelerated (90 days) | Part III / proxy (120 days) |
